Terms of Service

1. About PaySegue

PaySegue is an online invoice payment platform designed for independent service providers. PaySegue enables merchants to create invoices and generate payment links. PaySegue does not hold customer funds. Payments are processed by third-party payment processors, and funds flow directly to the merchant’s connected payment account.

PaySegue is not a bank, money transmitter, escrow service, or payment processor.


2. Eligibility

To create a PaySegue account, you must be at least 18 years old or have the legal authority to enter into binding contracts on behalf of a business or entity. By using the Services, you represent that you meet this requirement and that you are legally permitted to conduct business transactions through PaySegue.


3. Accounts

A. Merchant Accounts

To use PaySegue as a merchant, you must create an account and provide accurate, complete, and current information. You are responsible for:

  • maintaining the confidentiality of your account credentials
  • all activity that occurs under your account

You agree to notify us promptly of any unauthorized use of your account.

B. Invoice Recipients

Individuals who receive and pay invoices through PaySegue are not required to create a PaySegue account.


4. Payments and Fees

A. Payment Processing

Payments are processed by third-party payment processors (currently Stripe). Merchants must maintain an active account with the applicable payment processor in order to receive funds. PaySegue is not responsible for onboarding decisions, account reviews, or enforcement actions taken by payment processors. This does not limit PaySegue’s own rights under Section 4.D.

Use of payment processing services is subject to the terms, policies, and agreements of the applicable payment processor, which are incorporated by reference.

B. Fees

PaySegue charges merchants a service fee for completed transactions. Applicable fees are disclosed at the time of invoice creation or payment processing.

Third-party payment processors may charge separate fees, which are governed by their own terms.

PaySegue does not calculate or remit taxes. Merchants are responsible for determining whether taxes apply to their invoices and for reporting and remitting any required taxes to the appropriate authorities.

We may enforce minimum and maximum invoice amounts for risk, compliance, or operational reasons.

C. Refunds, Chargebacks, Disputes, and Negative Balances

Merchants are solely responsible for:

  • issuing refunds
  • handling chargebacks, payment disputes, reversals, and returns
  • maintaining sufficient funds in their payment account to satisfy refunds, disputes, fees, and other payment-related obligations
  • providing customer support related to their goods or services

PaySegue does not arbitrate, mediate, or resolve disputes between merchants and their customers, but may display payment status information for convenience.

Merchants remain responsible for obligations arising from their payment-processor accounts and any amounts assessed by payment processors in connection with their transactions.

If PaySegue incurs any losses, costs, fees, fines, penalties, chargebacks, refunds, or other liabilities arising from a merchant’s invoices, goods, services, conduct, or use of the Services, the merchant agrees to reimburse PaySegue for those amounts to the extent permitted by law.

D. Reviews, Holds, and Verification

PaySegue may review any account, invoice, or transaction at any time. During a review, and without prior notice, we may:

  • delay or withhold payouts
  • pause the ability to accept new payments
  • decline to create or process an invoice
  • refund a payment to the customer

We may take these actions where we reasonably suspect fraud, impersonation, misrepresentation, unauthorized account use, a violation of these Terms, or an elevated risk of loss to PaySegue, a customer, or a third party, or where required by our payment processor or by applicable law.

We may require identity verification, business documentation, or evidence that goods or services were delivered before releasing funds. Reviews are typically resolved within five business days, though they may take longer where we are awaiting information from you or from a third party. We will notify you at the email address on your account when a review begins and when it is resolved.

Where a payment is refunded to a customer under this section, the corresponding invoice is not considered paid, and PaySegue’s fee for that transaction is not earned.

To the extent permitted by law, PaySegue is not liable for losses, including lost profits or other consequential or business losses, arising from actions taken in good faith under this section.


5. Merchant Responsibilities

As a merchant, you agree that:

  • you are responsible for the accuracy, legality, and content of invoices you create
  • you are financially responsible for refunds, disputes, reversals, processor fees, negative balances, and other losses arising from your invoices, goods, or services
  • you will comply with all applicable laws, regulations, and tax obligations
  • you will not use PaySegue for unlawful, deceptive, or fraudulent activities
  • your goods or services are accurately described to customers

PaySegue does not verify, endorse, or guarantee merchant offerings.


6. Prohibited Uses

You may not use PaySegue to:

  • violate any law or regulation
  • engage in fraud, money laundering, or deceptive practices
  • infringe intellectual property rights
  • transmit malware or harmful code
  • interfere with the operation, security, or integrity of the Services
  • operate a prohibited or restricted business as defined by Stripe (see Restricted Businesses)

In addition to payment-processor restricted businesses, PaySegue may suspend, refuse, or terminate accounts that present elevated legal, financial, chargeback, fraud, or reputational risk. This may include, for example, merchants involved in crypto-related services, digital goods reselling, high-risk coaching or business-opportunity offers, dropshipping, adult services, supplements, or other categories PaySegue determines are not a fit for the platform.

We reserve the right to suspend or terminate accounts that violate these Terms.


7. Service Availability

PaySegue may modify, suspend, or discontinue the Services at any time. We do not guarantee uninterrupted operation or the successful completion of all payment attempts due to factors outside our control, including third-party services.


8. Intellectual Property

The Services, including software, branding, and content, are owned by PaySegue or its licensors and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Services solely for their intended purpose.


9. Privacy

Your use of PaySegue is subject to our Privacy Policy, which describes how we collect, use, and protect personal information.


10. Disclaimer of Warranties

PaySegue provides the Services on an “as is” and “as available” basis. While we work to provide a reliable and secure platform, we do not make guarantees about uninterrupted operation, specific outcomes, or suitability for every use case. PaySegue makes no warranties beyond those expressly stated in these Terms.

To the extent permitted by law, this includes disclaimers of implied warranties such as merchantability, fitness for a particular purpose, and non-infringement.


11. Limitation of Liability

To the fullest extent permitted by law, PaySegue shall not be liable for any disputes, losses, or damages arising from transactions between merchants and their customers.

PaySegue shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.

If PaySegue is nevertheless found liable for any claim, PaySegue’s total liability shall not exceed the fees paid to PaySegue by you in the three months preceding the claim.


12. Indemnification

You agree to indemnify and hold harmless PaySegue from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of:

  • your use of the Services
  • your invoices, goods, or services
  • your violation of these Terms or applicable law

13. Termination

You may stop using PaySegue at any time. We may suspend or terminate your access to the Services if you violate these Terms, if required by a payment processor, or if required by law.

Termination does not relieve you of obligations incurred prior to termination.


14. Changes to These Terms

We may update these Terms from time to time. The updated version will be indicated by a revised “Last updated” date. Continued use of the Services constitutes acceptance of the updated Terms.


15. Governing Law

These Terms are governed by the laws of the United States and the state in which PaySegue is operated, without regard to conflict-of-law principles.
